Alpha Consulting US provides transfer-pricing documentation and economic analysis for U.S. companies engaged in cross-border transactions with foreign parents, subsidiaries, and other related parties.
Our practice is designed principally for selective middle-market enterprises and special-purpose entities that require independent economic analysis but may not maintain a dedicated internal transfer-pricing department.
Transfer pricing is fundamentally an economic discipline. A defensible analysis must examine the functions performed, assets employed, risks assumed, contractual relationships, market conditions, and financial results of the controlled parties. Comparable-company data alone does not provide a complete conclusion.
Our transfer-pricing work may address:
The appropriate scope depends on the economic substance, materiality, available documentation, and complexity of the transactions under review.
A transfer-pricing documentation study evaluates whether the results of controlled transactions are consistent with the arm’s-length standard.
A complete study ordinarily includes:
The documentation is developed using the facts available for the applicable study year. Timely access to contracts, financial statements, tax information, segmented results, transaction records, and responsible company personnel is essential.
A benchmarking study identifies comparable uncontrolled companies or transactions and develops an arm’s-length range for evaluating controlled results.
Benchmarking may be performed as part of complete transfer-pricing documentation or as a separately defined economic assignment—for example, when a company is establishing a prospective pricing policy before commencing U.S. operations.
A benchmark alone ordinarily does not replace complete documentation after material controlled transactions have occurred. Actual financial results must be evaluated in conjunction with the company’s functions, assets, risks, contractual terms, and market circumstances.
A newly formed U.S. subsidiary may not yet have sufficient operating history for retrospective financial testing. In that situation, prospective analysis may establish:
The prospective analysis can later serve as a foundation for annual transfer-pricing documentation after actual operating results become available.
Alpha provides transfer-pricing analysis for Korean, Japanese, and other Asian-owned enterprises establishing or expanding U.S. operations.
These investments frequently involve combinations of:
Government incentives or strategic-investment status may support the commercial rationale for a project, but they do not ordinarily eliminate the need to evaluate related-party transactions under the applicable arm’s-length standard.
A commercial-reasonableness or feasibility study addresses whether a proposed U.S. investment is economically supportable. Transfer-pricing analysis addresses how income, expenses, capital, and risks should be allocated among the related entities participating in that investment.
When appropriate, Alpha can evaluate transfer-pricing readiness as part of a separately scoped commercial and economic analysis by identifying:
This early-stage analysis may reduce the need to reconstruct undocumented practices after operations have begun.
A negative operating result does not automatically establish that intercompany pricing is inappropriate. New U.S. operations may experience losses because of:
However, losses must be examined in relation to the U.S. entity’s functions, risks, contractual arrangements, and comparable market evidence. Any adjustment must be economically supportable and based on available documentation rather than used merely to produce a desired result.
Alpha’s transfer-pricing engagements emphasize:
Our experience in business valuation, financial forensics, industry research, and economic analysis supports assignments involving complex operating relationships, capital-intensive enterprises, and multiple international jurisdictions.
Alpha is not structured as a high-volume transfer-pricing provider. Engagements are accepted selectively based on the subject transactions, available documentation, communication requirements, timetable, and professional fit.
The practice is particularly suited to:
Contemporaneous documentation addressing controlled transactions, functional and financial analysis, method selection, comparables, and arm’s-length conclusions.
Comparable-company and comparable-transaction studies, prospective pricing policies, tested-party analysis, and supportable economic adjustments.
Transfer-pricing readiness and documentation for Asian-owned U.S. subsidiaries, manufacturing operations, and project entities entering or expanding in the United States.
Transfer-pricing documentation requires timely cooperation from company management, accounting personnel, foreign affiliates, and the referring CPA or tax adviser.
Before accepting an engagement, Alpha evaluates:
The client’s timely and complete delivery of the requested information is a material condition of the engagement schedule.
Alpha Consulting US serves clients nationwide from Southern California and the Pacific Northwest.
CPAs, tax advisers, and company representatives are invited to discuss the controlled transactions, applicable study year, documentation status, and anticipated timetable before requesting an engagement proposal.
